End User License Agreement

1 Agreement Overview

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, referred to as "Licensee" or "you") and TEMPESTATECH PRIVATE LIMITED, operating as "Quadz" ("Licensor" or "we"), for the Quadz mobile application software, including any associated documentation, updates, patches, and future versions (collectively, the "Software").

This EULA complements and operates alongside our Terms of Use and Privacy Policy. Where this EULA addresses software licensing and technical use, the Terms of Use address platform conduct and content rules.

2 License Grant

Subject to your compliance with all terms and conditions of this EULA, TEMPESTATECH PRIVATE LIMITED hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Download and install the Software on a compatible mobile device that you own or control.
• Use the Software for its intended purpose — accessing the Quadz platform as a verified student user.
• Access the features and functionalities made available through the Software as described in our documentation and in-app interface.

3 License Scope & Limitations

The license granted in Section 2 is subject to the following scope and limitations. The table below summarizes what is and is not permitted:

4 Permitted Uses

Within the scope of the license, you may:

• Use the Software to post, reply, react, save content, and follow tags within the Quadz platform, subject to the Terms of Use.
• Customize in-app settings such as notification preferences, display options, and handle changes as permitted by the platform.
• Access the Software through standard, unmodified mobile operating system features (e.g., widgets, notifications, shortcuts) where supported.
• Make a reasonable number of backup copies of the installation file for personal archival purposes, provided such copies are not distributed.
• Report bugs, vulnerabilities, or usability issues through official channels to help improve the Software.

5 Prohibited Uses

You may NOT, under any circumstances:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, in whole or in part, whether through manual analysis or automated tools.
• Modify, adapt, alter, or create any derivative works based on the Software, including but not limited to modifying app binaries, resource files, or configuration files.
• Remove, obscure, or alter any proprietary notices, labels, or markings on or within the Software, including copyright, trademark, and license notices.
• Distribute, publish, sell, rent, lease, or otherwise transfer the Software to any third party, whether for commercial or non-commercial purposes.
• Use the Software for any purpose other than its intended function as a student communication platform, including as part of any product, service, or system not authorized by Quadz.
• Intercept, monitor, or capture data transmitted between the Software and Quadz servers (e.g., packet sniffing, man-in-the-middle attacks).
• Bypass, disable, or circumvent any technical protection measures, access controls, rate limits, or security features implemented in the Software.
• Use automated means (bots, scripts, scrapers, crawlers) to interact with the Software or extract data from the platform.
• Load or embed the Software into any other application, framework, or system without prior written authorization from Quadz.
• Use the Software in any manner that violates applicable law or regulation, including export controls and sanctions.

6 Device & Platform Requirements

The Software is designed to operate on the following platforms:

• Android: Devices running Android 8.0 (Oreo) or later with Google Play Services.
• iOS: Devices running iOS 15.0 or later (iPhone and iPod Touch).

You are responsible for ensuring your device meets these minimum requirements. Quadz does not guarantee that the Software will function on devices that do not meet these specifications, on jailbroken or rooted devices, or on devices running custom ROMs or modified operating systems.

7 Updates, Patches & Upgrades

Quadz may periodically release updates, patches, bug fixes, security enhancements, and new versions of the Software ("Updates"). The following terms apply:

• Automatic Updates: Depending on your device settings and app store configuration, the Software may automatically download and install Updates. You may disable automatic updates through your device settings, but doing so may result in the Software becoming outdated or non-functional.
• Mandatory Updates: Some Updates may be designated as mandatory to maintain access to the platform. If you do not install a mandatory Update within the specified timeframe, your access to certain features or the entire Service may be suspended until the Update is applied.
• Update Terms: Updates are governed by the terms of this EULA unless accompanied by a separate license agreement, in which case the separate terms govern that specific Update.
• No Obligation: Quadz has no obligation to release Updates, and the frequency, content, and timing of Updates are at our sole discretion.

8 Third-Party Components

The Software may include or be accompanied by certain third-party software components, libraries, frameworks, and open-source software ("Third-Party Components"). These components are subject to their respective license terms, which may differ from this EULA.

Key categories of Third-Party Components include:

• Open-Source Libraries: Used for core functionality (e.g., networking, image rendering, data storage). These are governed by their respective open-source licenses (e.g., MIT, Apache 2.0). A list of open-source components and their licenses is available upon request at legal@quadz.app.
• SDKs and APIs: Such as push notification services, analytics SDKs, and crash reporting tools. These are used under their respective terms of service and privacy policies.
• System Frameworks: Provided by the mobile operating system (Android SDK, iOS SDK) and governed by their platform terms.

Nothing in this EULA modifies or restricts any rights you may have under the applicable third-party license. If there is a conflict between this EULA and a third-party license, the third-party license governs the respective component.

9 User-Generated Content

The Software enables you to create, submit, and share content ("User Content") such as posts, replies, and reactions. The following terms apply to User Content:

• Ownership: You retain all ownership rights to the User Content you create. Quadz does not claim ownership of your content.
• License to Quadz: By submitting User Content through the Software, you grant Quadz a limited, non-exclusive, royalty-free, worldwide license to store, transmit, display, and distribute your content solely for the purpose of operating the Service (e.g., showing your post to other users in the relevant Quad).
• No Commercial Use by Quadz: We do not license, sell, or monetize your User Content outside of operating the Service.
• Responsibility: You are solely responsible for your User Content. Quadz does not pre-screen, endorse, or guarantee the accuracy of any User Content.
• Representation: By submitting User Content, you represent that you have the right to do so and that the content does not violate any law or third-party rights.

10 Data & Privacy

The Software collects, processes, and stores certain data to function properly. All data practices are governed by our Privacy Policy, which is incorporated into this EULA by reference.

Key points relevant to the Software specifically:

• The Software requires internet connectivity to function. Offline mode is not currently supported.
• The Software may collect device identifiers, crash logs, and performance metrics for debugging and improvement purposes, as detailed in the Privacy Policy.
• The Software uses TLS encryption for all communications with Quadz servers.
• You may manage certain data preferences through the app's Settings section. However, some data collection is essential for the Software to function and cannot be disabled.

11 Term & Termination

Term: This EULA is effective from the moment you download, install, or first use the Software and remains in effect until terminated as described below.

Termination by You: You may terminate this EULA at any time by uninstalling the Software and deleting your account through the app's settings. Upon termination, the license granted herein ceases immediately.

Termination by Quadz: We may terminate this EULA and revoke your license at any time, with or without cause, including but not limited to:

• Material breach of this EULA (including prohibited uses in Section 5).
• Account suspension or ban under the Terms of Use.
• Fraudulent verification or use of unauthorized copies of the Software.
• Legal or regulatory requirement.
• Discontinuation of the Software or platform (with reasonable notice where possible).

Effect of Termination: Upon termination, you must immediately: (a) stop using the Software, (b) uninstall the Software from all devices, and (c) destroy any copies of the Software in your possession. Sections 9, 10, 12, 13, 14, 15, and 16 survive termination.

12 Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TEMPESTATECH PRIVATE LIMITED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability — the Software may not meet your specific requirements or expectations.
• Implied warranties of fitness for a particular purpose — the Software may not be suitable for every intended use.
• Implied warranties of non-infringement — the Software may inadvertently infringe third-party rights despite our best efforts.
• Warranty of title — while we believe we have the right to license the Software, we make no explicit warranty of title.
• Warranty of quiet enjoyment — your use of the Software may be interrupted or disrupted.

Quadz does not warrant that:

• The Software will be uninterrupted, error-free, or secure at all times.
• All defects or errors will be corrected.
• The Software will be compatible with all devices, operating systems, or third-party applications.
• The Software will meet specific performance, availability, or uptime standards.

13 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEMPESTATECH PRIVATE LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, loss of reputation, business interruption, or emotional distress.
• Any damages arising from unauthorized access to or alteration of your data or device through or related to the Software.
• Any damages arising from your reliance on information or content accessed through the Software.
• Any damages resulting from third-party conduct (other users, service providers) in connection with the Software.

Total Liability Cap: In any event, Quadz's total aggregate liability to you for all claims arising from or related to this EULA or the Software shall not exceed the amount you have actually paid to Quadz for the Software in the twelve (12) months preceding the claim. Since the Software is currently provided free of charge, this cap is effectively zero (₹0).

This limitation applies regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise) and even if Quadz has been advised of the possibility of such damages.

14 Indemnification

You agree to indemnify, defend, and hold harmless TEMPESTATECH PRIVATE LIMITED and its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, lawsuits, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Software in violation of this EULA.
• Your User Content and any claims that your content infringes any third party's intellectual property rights, privacy rights, or other legal rights.
• Your violation of applicable law or regulation through your use of the Software.
• Your breach of the Terms of Use or Community Guidelines.
• Any unauthorized access to the Software resulting from your failure to protect your account credentials.

Quadz will provide you with prompt notice of any such claim and reserve the right to participate in the defense at its own expense. You shall not settle any claim without Quadz's prior written consent if the settlement would impose any obligation on Quadz.

15 Export Compliance

The Software is subject to the export control laws and regulations of India and other applicable jurisdictions. You agree to comply with all such laws and regulations, including but not limited to:

• You will not export, re-export, or transfer the Software to any country, person, or entity subject to export restrictions or sanctions.
• You will not use the Software for any purpose prohibited by export control laws, including nuclear, chemical, or biological weapons development, or missile technology.
• You represent and warrant that you are not located in, under the control of, or a national/resident of any country subject to comprehensive sanctions (as determined by applicable authorities).

If you are accessing the Software from outside India, you are responsible for ensuring your use complies with local laws. Quadz makes no representation that the Software is appropriate or available for use in all jurisdictions.

16 Miscellaneous & Contact

Governing Law: This EULA is governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts in Maharashtra, India.

Severability: If any provision of this EULA is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: The failure of TEMPESTATECH PRIVATE LIMITED to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by TEMPESTATECH PRIVATE LIMITED.

Entire Agreement: This EULA, together with the Terms of Use and Privacy Policy, constitutes the entire agreement between you and TEMPESTATECH PRIVATE LIMITED regarding the Software and supersedes all prior or contemporaneous agreements, representations, and understandings.

Assignment: You may not assign or transfer this EULA or any rights hereunder without Quadz's prior written consent. TEMPESTATECH PRIVATE LIMITED may assign this EULA to any successor in connection with a merger, acquisition, or sale of assets.

Language: This EULA is drafted in English. If any translation is provided, the English version shall prevail in case of any conflict.
